Job Description

Company Secretary Claremont Cape Town

We are seeking an experienced Company Secretary to join our client a Cape Town law firm. The role requires at least 5 years’ experience in a law firm environment and combines company secretarial, governance and compliance duties to support partners, the firm’s board and corporate clients.

Salary: Market Related

Requirements 

  • Legl Qualification or similar
  • Minimum 5 years’ experience in a law firm as company secretarial, paralegal or senior legal admin
  • Practical knowledge of company secretarial practice and statutory filing procedures; familiarity with South African Companies Act and CIPC advantageous.
  • Proven minute-taking and drafting skills for board papers and resolutions.
  • Strong organisational ability, attention to detail and high discretion.
  • Excellent written and verbal communication; comfortable liaising with senior stakeholders.
  • Proficient in MS Office and document/practice management systems.

Key responsibilities 

  • Prepare and distribute board/committee packs, arrange meetings and take accurate minutes; track actions and resolutions.
  • Maintain statutory registers (directors, members, beneficial owners) and minute books.
  • Prepare and file statutory forms and returns (e.g., Companies Act / CIPC filings where applicable).
  • Manage the compliance calendar (AGMs, confirmation statements, accounts deadlines) to ensure regulatory deadlines are met.
  • Support corporate transactions and housekeeping (share transfers, incorporations, resolutions, due diligence packs).
  • Liaise with external advisers, registrars and regulators; support firm-specific regulatory obligations and conflicts checks.
  • Assist with AML/KYC record-keeping and data protection requirements (POPIA) where relevant.
  • Maintain corporate policies, retention schedules and secure handling of confidential records.
