Compliance and Company Secretarial Officer (FICA) Cape Town, South Africa

 

Our Law firm client seeks the expertise of a Compliance and Company Secretarial Officer that will oversee the organisation’s compliance framework with a strong focus on FICA, while delivering end‑to‑end company secretarial and governance support. The role spans policy design and assurance, regulatory reporting, stakeholder training, and board/committee governance (including CIPC filings and statutory records). The incumbent will act as a key point of contact for regulators and clients on FICA and governance matters.

 

Salary Range: Up to R80 000.00 CTC (Depends on experience and qualifications)

Position type: Permanent – Office based position only.

 

Qualifications and Requirements

Bachelor’s degree in Law, Finance, Business Administration, or related field.

5+ years’ combined experience across compliance (including 3+ years focused on FICA) and company secretarial/governance.

Certificate in FICA compliance.

Company secretarial certificate or CGISA/CIS qualification – advantageous

Law degree and/or admitted attorney – advantageous

Professional compliance certifications (e.g., ACAMS, ICA, CCEP)

In-depth knowledge of FICA/AML/CFT, the Companies Act, corporate governance, and CIPC requirements.

Strong understanding of reporting procedures, record-keeping, and evidence/audit readiness.

Excellent analytical, planning, and problem-solving skills; high attention to detail.

Strong communication, stakeholder management, and training delivery skills.

 

Key Responsibilities

Compliance (enterprise and legal)

Develop, implement, and oversee control systems, policies, and procedures to ensure compliance with legal and internal requirements.

Provide legal/compliance guidance, conduct legal research, and monitor regulatory developments.

Perform compliance risk assessments, test control effectiveness, and drive remediation.

Prepare compliance reports and MI for senior management and the board; support audits and inspections.

 

FICA/AML Compliance

Own the FICA framework and RMCP, ensuring alignment with legislation and guidance.

Conduct FICA risk assessments and compliance audits; monitor and implement regulatory changes.

Oversee KYC/EDD standards, sanctions/TFS screening controls, record-keeping, and quality assurance.

Investigate and resolve compliance breaches; escalate and report to authorities as required.

Design and deliver FICA/AML training and guidance to staff and clients; respond to FICA queries.

 

Company Secretarial and Governance

Ensure clients comply with statutory obligations under the Companies Act and related regulations.

Maintain statutory registers (including beneficial ownership), prepare and file CIPC documents and annual returns.

Prepare board/committee/AGM packs; draft agendas, minutes, resolutions, and lodge required forms.

Advise on corporate governance principles and implement governance frameworks.

Keep abreast of legislative changes and brief stakeholders; train junior staff on governance updates.

 

Regulatory and Stakeholder Engagement

Liaise with the FIC, CIPC, FSCA/Prudential Authority (as applicable), and external auditors.

Collaborate with internal stakeholders (Legal, HR, business units) to embed standards and resolve issues.
